Evaluate strategic options for the Company – outright sale vs. ‘go it alone’ OEM supplier with targeted own cardiac marker sales in Europe.

Acquirer

Ortho-Clinical Diagnostics division of Johnson & Johnson Nordic AB, a wholly owned subsidiary of Johnson & Johnson, Inc. (NYSE: JNJ).

Transaction

Sale of point-of-care diagnostic assets and related intellectual property following carve-out of unrelated intellectual property into a separate legal entity, Sigolis AB. Financial terms were not disclosed.

Our Role

Acted as Financial Advisor to the Board of Directors and management.

  • Prepared marketing materials and compiled electronic data room.
  • Devised and managed strategic sales process maintaining competitive tension through-out the process.
  • Spearheaded negotiations with several interested parties and ensured favourable financial outcome for shareholders and stakeholders.
